Legal Guard Membership
TERMS AND CONDITIONS
SCOPE
This document sets out the terms and conditions of the Legal Guard Membership, what each level of membership contains, who it is suitable for and how it operates between you ‘the Member’ and Johnson and Boon Limited, ‘the Company’.
THIS AGREEMENT
This is an agreement (this “Agreement”) between you (the Member) and Johnson and Boon Limited (the Company) in respect of your Legal Guard Membership.
By purchasing a Legal Guard Membership, you agree to be bound by the terms and conditions contained within this Agreement. You further acknowledge that you have read and understood the content prior to singing up to the 12 month minimum term.
This agreement sets out all of the information you need to know before signing up as a member and all of the benefits for being a member are set out in the Schedules attached hereto.
DEFINITIONS
This Agreement contains words that require a Definition to ensure that there is no misunderstanding as to the meaning of such words. These definitions are below:
Affiliates: Means other providers of services who have agreed to accept instructions from Members via the Membership Area
App: Means the Johnson and Boon Solicitors mobile application which is available for download on apple or android.
Benefits Portal: Means a section within the Membership area which Members can access offers and discounts from a variety of high street outlets.
Business Day: means a day other than a Saturday, Sunday or public holiday in England & Wales.
Excluded Matters: matters which are not covered the Membership, as set out in Schedule 5.
Johnson and Boon Limited, a company incorporated and registered in England under number 09579532
Legal Guard Plan: means your 12 month membership plan
Legal Library: Means Legallibrary.co.uk which is a website provided by Legal Library Limited which Members have access to via the Membership Area.
Member: means the member named in the Membership certificate.
Membership Area: Means the area on the Website or App which is only accessible by Members
Membership Fees: Means the fees you will pay as a Member as set out in Schedule 2
Minimum Term: means a 12 month minimum fixed period of the membership.
Payment Dates: means the date each month on which the Membership Fees are debited from your account.
Premium Member: Means the level of membership as set out in Schedule 1
Premium + Member: Means the level of membership as set out in Schedule 1
Platinum Membership: Means the level of membership as set out in Schedule 1
Notice Date: the date on which you provide notice of your intention to terminate this Agreement.
Payment Dates: means the dates on which the Charges are debited from your payment account. The term “Payment Date” shall be construed accordingly.
Services: means the services described in this Agreement.

APPLYING FOR MEMBERSHIP
If you decide to apply to be a Member you will need to do so using the Members sign up section on the Website.
By completing the sign-up section on the Website you are making an offer to us to subscribe to the Membership for the Minimum Term.
We reserve the right to reject any offer to become a Member at our absolute discretion.
Your offer will only be accepted by us and a contract formed when:
You have completed the sign-up form in full
You have uploaded your ID
We have verified your details by completing Anti-Money Laundering Checks
Your payment method is complete
We have provided to you a membership certificate (By Email) containing your Membership details.
We will try to process your offer to become a Member promptly, but we cannot guarantee any specified time. The process will usually be completed within 3 working days.
You must be at least 18 years of age to become a Member.
You will only be entitled to access and use the Membership Area whilst you meet the criteria to be a Member.
All of the features of each level of Membership are as set out in Schedules 1. No additional features or benefits are provided to or received by Members.
MEMBERSHIP FEES AND PAYMENT
The monthly Membership Fees for the three levels of Membership are as set out in Schedule 2. You agree to pay Membership Fees for the Minimum Term of your Membership. You agree that if the rate of VAT changes at any time, the charges will be amended to reflect the change and you will remain responsible for them.
You must pay the Membership Fees by;
12 fixed monthly instalments by way of Direct Debit
You must ensure you have sufficient funds available to satisfy the amounts due.
The first payment will be made on the date you are accepted to be a Member.
The first Membership Fee will either be for the annual sum due or for the first monthly instalment depending upon the selection you make.
All subsequent Membership Fees shall be debited from your account on the same day of each month, unless this falls on a weekend or bank holiday at which time it will be the first working day thereafter.
If Membership Fees are not paid in accordance with these terms, due to either cancellation of the payment or there being insufficient funds or due to any other reason we will suspend your Membership until we have received full payment all Membership fees in default.
If you do not pay the Charges in accordance with this Agreement, we can charge you interest on what you owe at 3% above the base rate of the Bank of England.
YOU MUST NOT
You must not at any time:
Breach your obligations (including your payment obligations) as set out in this Agreement and any other terms notified to you from time to time;
Share access to the Membership area with any other person;
Attempt to use the Services for any illegal, immoral or improper purpose;
Provide false information;
LENGTH OF YOUR MEMBERSHIP
Your Membership will begin on the day when you are accepted as a Member and will continue for the Minimum Term of 12 months.
You Membership will then automatically renew on the 12-month anniversary of you becoming a Member and you will then enter a further 12 month Minimum Term and your usual fees will continue monthly.
This will continue on a rolling basis until you give us notice of your intention to end your Membership.
If you give us notice of your intention to end your Membership (such notice not to expire before the end of your Minimum Term), such Notice must provide 90 clear days’ notice, meaning that you will pay 3 further monthly fees (if you pay monthly) and have access to the Membership services for 3 further months from the date you give notice.
Any notice to us must be given in writing and send by way of recorded post to our correspondence address.
If you provide notice the Membership services will terminate on the last day of your current Minimum Term.
TERMINATION RIGHTS
You have 14 (fourteen) calendar days (the “Statutory Period”) from the date we accept you as a Member to cancel your membership for any or no reason and be eligible for a refund of any Membership Fees you have paid.
If you use the Membership services during the Statutory Period, you will be refused a refund of the Membership Fees already paid but you will still be entitled to terminate your Membership.
After the Statutory Period ends you cannot terminate your agreement within the 12 month Minimum Term.
If you wish for your Membership to end after the 12 month Minimum Term you must provide the 90 clear days’ notice as set out above.
After a date on which this Agreement is terminated or cancelled, you will no longer have any use of the Membership.
Should you wish to Terminate you must do so in writing stating:
Your name
Your address
Your Membership Number
This must be sent by recorded post and must reach us within the Statutory Period if you wish to cancel within the initial 14 days.
OUR RIGHTS TO END THIS AGREEMENT
We may end this Agreement at any time by writing to you if:
You breach this Agreement;
You do not pay any Charges due;
You fail to provide information we reasonably require
Johnson and Boon Limited stop offering Membership Services
If we end this Agreement, we will:
Inform you in writing
Provide 30 days’ notice of our intentions
Provide a refund of any fees paid in advance for months of the Membership not yet received.
MODIFICATIONS
We may make modifications to this Agreement to facilitate a change in legislation or for operational, economic or technical reasons. Such modifications will be confirmed to you in writing within 30 days of the modification being made.
INCREASING MEMBERSHIP FEES
We may increase Membership Fees automatically each year by up to 5%.
You are automatically bound by any such changes from the date upon which they are implemented.
IF WE SUSPEND THE PLAN
We reserve the right to suspend the Membership or any of the services or benefits contained therein. If the suspension of the Membership is for a period exceeding 14 days we will refund to you 50% of the Membership Fees you have paid for that month.
OUR RESPONSIBILITY FOR LOSS OR DAMAGE SUFFERED BY YOU
We are not responsible to you for any losses that you incur unless they are directly attributable to a negligent act of ours.
Our liability to you to pay damages or losses shall not in any event exceed 100% of the Membership Fees that you have paid to us in the preceding 12 month period.
We are not liable for business losses.
We do not exclude or limit in any way our liability to you where it would be unlawful to do so.
DISCLAIMERS
Johnson and Boon Limited is not an insurer. The Membership is not an insurance policy.
Members are not guaranteed legal representation by subscribing.
We reserve the right to decline instructions if is it considered that the case fails to have reasonable prospects of success by Johnson and Boon Limited.
We will not act in circumstances when we have a conflict of interest. Any inability to act for a Member in a specific matter, will not terminate the Membership.

HOW WE WILL CONTACT YOU
We will retain any contact information you provide to us for the purpose of being able to communicate with you. Such information will be retained securely for a term of 6 years following the termination of your Membership in accordance with our professional obligations.
When attempting to contact you we may telephone, email or write to you via post.
It is your responsibility to ensure that your contact information remains up to date in our records. Any changes should be communicated to us.
HOW WE MAY USE YOUR PERSONAL INFORMATION
How we may use your personal information. We will only use your personal information as set out in our Privacy Policy. This Policy is available on the Website.
OTHER IMPORTANT TERMS
Your membership is not transferable.
No Third Party has any rights under this Agreement.
If a Clause of this Agreement is determined by any Court or other competent authority to be unlawful and/or unenforceable, the other Clauses of this Agreement will continue in effect. If any unlawful and/or unenforceable Clause would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the Clause will continue in effect (unless that would contradict the clear intention of the parties, in which case the entirety of the relevant Clause will be deemed to be deleted).
If we delay in enforcing this Agreement, we can still enforce it at a later time provided that we do so within the statutory limitation periods.
This Agreement is governed by the laws of England and Wales and you can bring legal proceedings in respect of this Agreement in the English courts only.

Premium Membership
This level of membership is suitable for an individual or sole trader and includes the following:

The specific content of the services included within this package may be varied or added to by Johnson and Boon Limited at any time.
Telephone Consultations
All members receive one monthly telephone consultation which is limited to 30 minutes. Consultation time cannot be carried over into other months if it is not used.
All consultations included within the agreement will be conducted by telephone and will strictly be limited to the timescale provided.
The consultation can only take place with the Member.
Consultations will take place between Monday – Friday 8:00am to 5:00pm (excluding bank or public holidays). We cannot guarantee a specific time slot.
Consultations are booked via www.johnsonandboon.co.uk
If there are matters which remain unaddressed at the end of the timeslot permitted for a consultation, the Member will be able to request a further consultation however this will be chargeable at a rate of £60.00. A second appointment will need to be booked.
If a face to face consultation is required, this consultation would be chargeable at a rate of £75.00. This can only be facilitated if you are able to travel to the office of Johnson and Boon Limited.
It is not guaranteed that we will be able to fully answer queries within an initial consultation. If the matter is complicated enough to require us to have to consider matters further, additional charges will apply.
Initial Letters
You receive one free legal letter within this level of Membership. This shall be limited to one A4 page in length.
All information for the preparation of the draft letter must be supplied by the Member swiftly and promptly when requested. This will be provided by email.
The letter can only be sent in relation to a legal matter that the Member is party to.
We will not provide draft letters to Members for prior approval. They will be prepared and sent based upon the instructions you provide.
Perceived false, misleading or inaccurate information provided by the Member shall not be included within any letter.
We will not write letters which relate to an area of law outside of our expertise.
We cannot act for you in a legal matter against another party, if there is conflict of interests.
Platinum + Membership
This level of Membership is suitable for individuals who:
Want the comfort of knowing their plan covers their spouse / civil partner;
Want their plan to cover legal matters concerning their business (Including Limited Companies)
Want to receive higher discounts off legal services
Want full access to all Templates and Information Sheets available provided by legallibrary.co.uk

Standard Will Definition
This will include a maximum 1 hour telephone consultation to take instructions as to the contents of the Will for the Legal Guard member ONLY.
A standard Will includes:
- appointment of executors,
- appointment of guardians for children,
- specifying any legacies that you want to leave, and
- statement of who you want to leave the rest of your assets to (the residuary estate)

SCHEDULE TWO – MEMBERSHIP FEES
Premium Membership
The 12 month Minimum Term Membership costs £24.00 per month.
All fees are inclusive of VAT.
Premium + Membership
The 12 month Minimum Term Membership costs £36.00 per month.
All fees are inclusive of VAT.
Platinum Membership
The 12 month Minimum Term Membership costs £40.00 per month.
All fees are inclusive of VAT.
SCHEDULE THREE – OTHER FESS
If you provide instructions for Johnson and Boon Limited to provide a service, or any legal advice which is not free within your level of Membership, they will provide such services or advice by reference to their standard hourly rate.
The standard hourly rate is £192.00 plus VAT per hour and this rate is chargeable for all time spent in considering documents, providing advice, drafting, sending letters, sending emails, considering letters, considering emails engaging in telephone calls.
Each level of Membership provides a specific percentage discount off the standard rate for selected areas. The discounts will be applied by Johnson and Boon Limited as they are incurred and you will be invoiced. Johnson and Boon Limited may require payment on account of costs prior to the work being completed.
No discounts other than those specifically stated within Schedule One will be provided.
SCHEDULE FOUR – LEGAL TEMPLATES AND INFORMATION SHEETS
Legal Templates and Information Sheets are available from the Members Area. These are provided by Legal Library Limited and not Johnson and Boon Limited.
They are not intended to replace legal advice. You use the information sheets for background information purposes only. They do not constitute legal advice.
The Templates are basic outline templates only. If you decide to use the templates, you do so at your own risk. If you are in doubt, you should seek specific advice from Johnson and Boon Limited by booking a consultation.
Full terms and conditions in relation to the templates, information sheets and their use can be found at Legallibrary.co.uk.
SCHEDULE FIVE – EXCLUDED MATTERS
Only the types of work identified within Schedule One are included within the Membership.
Legal matters involving the laws of jurisdictions other than England and Wales are excluded.
Instructions which we consider may give rise to a of conflict of interest will be rejected.
SCHEDULE SIX – ASSOCIATES
Once you become a member you have the option to recommend other people to us and thus become an Associate. Those who you recommend may decide to become members.
If someone you recommend to us becomes a member, you will receive a percentage of their Membership Fees. Full details are contained within the Associates Section of the Members Area and are accessible once you are a member. You will need to apply to become an Associate if you wish to do so.
If you have been recommended to Johnson and Boon Limited and become a member. The person who recommended you will probably have received a financial incentive as a result of the recommendation.
By applying to become a Member you acknowledge that you understand that this arrangement was in place and that you have no objections.
Print and Sign World Ltd assists Johnson and Boon Limited in the processing of the Associates area. This allows Johnson and Boon to ensure that all Associates receive the correct credit for any new Members who sign up as a result of their recommendation. In order to facilitate this, basic Member information is shared with Print and Sign World Ltd under a strict Confidential and Non-Disclosure Agreement. You accept and acknowledge that your information will be shared in this way when you apply to become a Member.
